By creating an account, accessing our website, or using any part of the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

Boutiqly is a business management platform designed for boutique owners, makers, artisans, consignment shops, and vendor boutiques. The Service includes tools for customer relationship management (CRM), marketing automation, vendor management, communication workflows, social media scheduling, and related features.

The Service may integrate with third-party platforms including Shopify, GoHighLevel, Meta (Facebook and Instagram), Google, and others. Your use of those integrations is also subject to the terms and policies of those third-party platforms.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, state, local, or international laws or regulations.
• Send unsolicited commercial communications (spam) through the Service.
• Use the Service to collect or harvest personal data about others without their consent.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service to violate the privacy rights of others or to collect data in violation of applicable privacy laws.

If you use Boutiqly's integrations with Meta platforms (Facebook, Instagram), you agree to comply with Meta's Platform Terms (developers.facebook.com/terms) and Meta's Developer Policies. You acknowledge that:

• You will not use Meta user data for purposes beyond what is disclosed to users and permitted by Meta's policies.
• You will not use Meta data to make eligibility determinations about users for credit, insurance, employment, or housing.
• You will promptly delete Meta user data upon request, in accordance with Meta's data deletion requirements.
• You are solely responsible for your use of Meta integrations and for complying with all applicable Meta policies.

The Service allows you to upload, store, and manage content including customer data, vendor information, marketing materials, and business records ("User Content"). You retain ownership of your User Content. By uploading User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that:

• You own or have the necessary rights to all User Content you upload.
• Your User Content does not violate the privacy rights, intellectual property rights, or other rights of any third party.
• You have obtained all necessary consents to upload and process any personal data of third parties (such as customer or vendor information) through the Service.

The Service and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Boutiqly and its licensors. The Boutiqly name, logo, and all related marks are trademarks of Boutiqly. You may not use our trademarks without our prior written consent.

Nothing in these Terms grants you any right to use Boutiqly's intellectual property except as expressly permitted by these Terms.

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our Pricing page. All fees are in U.S. dollars unless otherwise stated.

• Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your plan.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.
• Price changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
• Taxes: You are responsible for all applicable taxes associated with your subscription.

The Service may integrate with or link to third-party services, including Shopify, GoHighLevel, Meta, Google, Stripe, and others. These integrations are provided for your convenience. We do not control and are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is governed by their respective terms and policies.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BOUTIQLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOUTIQLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Boutiqly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights, including intellectual property rights or privacy rights.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include violation of these Terms, non-payment of fees, or conduct that we believe is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination. After that period, we may delete your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property or unauthorized access.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date and, for significant changes, by sending an email notification to your registered email address. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boutiqly regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
